User Responsibilities
As a condition of using our website or services, you agree to:

  • Eligibility: Be at least the legal age of majority in your jurisdiction and have the legal capacity to enter into a binding contract.  Clients must ensure they are eligible under local law.

  • Account and Access: Provide accurate and up-to-date information when registering or submitting work. Keep any account credentials or contact details secure and confidential.  You are responsible for all activity under your accounts. If you learn of any unauthorized use, you must notify us immediately.

  • Lawful Use: Use the website and services only in compliance with all applicable laws and these Terms. You must not use the site or services for any unlawful, harmful, or abusive purpose. For example, you must not upload or transmit any content that is illegal, defamatory, obscene, hateful, or infringes on any third-party rights.  Terms generally prohibit activities such as hacking, spamming, or uploading malware.

  • Intellectual Property Compliance: Ensure that any content or materials you provide to Jainovate (e.g. text, images, or data) are owned by you or properly licensed. You agree not to submit any material that violates the intellectual property rights of others. You grant Jainovate a non-exclusive license to use any client-supplied content solely for the purpose of providing the contracted services.

These obligations help maintain a safe environment and ensure both parties can rely on the information exchanged.  Failure to comply may result in immediate termination of services.

Payment Terms

Fees for Jainovate’s services will be set forth in the applicable agreement or invoice. In general:

  • Deposit/Upfront Payment: Jainovate may require an upfront deposit or partial payment before work begins. This deposit is typically non-refundable (unless otherwise agreed).

  • Invoicing: The balance of fees is invoiced as agreed (e.g. upon project milestones or completion). All invoices are due as specified on the invoice, typically within 15 or 30 days of receipt. Any payment not made by the due date may accrue interest or result in service suspension.

  • Currency and Taxes: Fees are quoted in the currency noted in the contract. Client is responsible for any sales tax, goods and services tax (GST), value-added tax (VAT), or other taxes applicable in Client’s jurisdiction, unless stated otherwise.

  • Billing and Collection: Jainovate will provide invoices detailing services and fees.  Clients agree to pay all invoiced amounts in full.  Failure to pay may result in collection action, and Client will be responsible for all costs of collection.

In summary, billing and payment terms are an integral part of the agreement.  The specific payment schedule (including partial payments, retainers, or upfront fees) will be detailed in your service contract or quotation.

Cancellations and Refunds

Jainovate’s cancellation and refund policy depends on the type of service:

  • One-Time Projects: If the client cancels the project before Jainovate has started any work, Jainovate may, at its discretion, provide a full or partial refund of any amounts paid.  If cancellation occurs after work has commenced, any refund will be prorated.  Jainovate will deduct fees for work already completed or non-recoverable expenses up to the cancellation point.  Completed deliverables up to cancellation date will be delivered to the client.

  • Recurring Services (Retainers or Subscriptions): For ongoing services billed monthly or on a subscription basis, clients may terminate the service with reasonable notice (typically 30 days).  A cancellation must be provided in writing (email is acceptable). Any fees paid for the current billing period will cover services through the end of that period and are generally not refundable. Jainovate does not provide prorated refunds for partially used months once a billing cycle has started.

  • Consulting or Hourly Services: If consulting sessions or hourly services are scheduled, cancellations by the client usually require advance notice (e.g. 24 hours). Late cancellations or no-shows may be charged at the full session rate, unless agreed otherwise.

  • Jainovate Cancellations: Jainovate reserves the right to cancel services (with full refund) under exceptional circumstances, such as inability to perform due to technical issues, fraud, or error. In such cases, clients will be notified promptly and refunded any prepaid fees.

These provisions align with industry practice: for example, clients who cancel before work begins may get a refund, but refunds are prorated once work is done. All refund requests must be made in writing to our billing department.

Limitation of Liability

Except to the extent prohibited by law, Jainovate’s total liability to the Client for any claim arising out of or relating to these Terms or the services shall not exceed the total fees paid by the Client to Jainovate under the applicable agreement.  No Consequential Damages: In no event will Jainovate be liable for indirect, incidental, consequential, special, or punitive damages (including loss of profits, data, or business interruption), even if advised of the possibility of such damages.

Jainovate provides its services “as is” and makes no warranties of any kind (express or implied) regarding results or performance.  Any disclaimers and limitations in these Terms are intended to shield Jainovate from liability for certain claims.  For example, Jainovate expressly disclaims any guarantee of specific results (such as search engine rankings) unless explicitly stated in writing.  Clients agree that Jainovate’s liability is limited to the amount of fees actually paid.

This limitation is in line with standard contractual protections: website T&C typically include disclaimers and limits on liability to protect the provider from legal claims. It does not eliminate liability for gross negligence or willful misconduct where prohibited by law.

Intellectual Property

  • Jainovate’s Materials: All content on Jainovate’s website (including text, graphics, logos, images, and code) and materials created by Jainovate (designs, source files, documentation, etc.) are the property of Jainovate or its licensors. These materials are protected by copyright, trademark, and other intellectual property laws. Clients are granted a limited, non-exclusive license to use Jainovate’s materials solely as part of the services provided. No other use, reproduction, or distribution of Jainovate’s proprietary content is permitted without prior written consent.

  • Client Materials: Clients retain ownership of any materials they provide to Jainovate (such as logos, text, images, or data). By supplying such materials, the Client represents and warrants they have all necessary rights to use them. The Client grants Jainovate a non-exclusive license to use, reproduce, modify, and display those materials as needed to perform the services.

By entering into this agreement, both parties acknowledge that intellectual property clauses protect the rights of content owners.  Clients agree not to use Jainovate’s trademarks or copyrighted content (e.g. our logo, design templates, or code) for any purpose outside the scope of the services.

Confidentiality

During the course of our engagement, Jainovate may have access to proprietary or confidential information of the Client (e.g. marketing plans, business strategies, or technical data), and the Client may similarly have access to Jainovate’s confidential information.  Both parties agree to keep all such non-public information confidential and not to disclose it to any third party, except as required by law or with prior written consent.

Confidential information does not include information that is already public or independently developed. Each party will take reasonable precautions to protect the other’s confidential information. This confidentiality obligation is critical: under India’s Information Technology Act, unauthorized disclosure of information obtained in a contract is an offense. Both Jainovate and the Client agree to use confidential information solely for the purposes of performing this contract and to return or destroy it upon request after termination of services.

Use of Website (Analytics and Cookies)

Jainovate’s website uses standard web analytics and cookies to improve user experience and track site usage. For example, we employ Google Analytics to collect aggregate data about page views, user behavior, and traffic sources. These tools use cookies and similar technologies to gather information such as IP address, browser type, and device details. By using the site, you consent to the use of these analytics tools and cookies. You may disable cookies through your browser settings, but this may affect site functionality.

A Cookies Policy is available that explains the types of cookies used and how to opt out. As a best practice, Terms & Conditions often include a section about cookies and their function.  Jainovate’s Privacy Policy (linked on the website) provides detailed information on data collection and processing practices. Any personal data collected through the contact form or cookies is handled in accordance with that Privacy Policy.

International Use

Jainovate is based in India and provides services globally.  Although our website may be accessible worldwide, Jainovate makes no representation that the content is appropriate or available for use in all locations. Users who access the site or receive services from outside India do so on their own initiative and must comply with all local laws in their jurisdiction.  It is the responsibility of international clients to ensure compliance with any export regulations or data protection laws of their country.

For example, as noted in other website terms, users from other locations must observe applicable laws when using the site. Jainovate’s agreements may need to be adapted to comply with certain national laws, but our default governing law is India (see below).

Governing Law and Jurisdiction

These Terms and any dispute arising out of or relating to the services will be governed by and construed in accordance with the laws of India.  The courts in Madhya Pradesh, India (or another specified jurisdiction within India) will have exclusive jurisdiction to resolve any such disputes.  Including a governing law clause is essential, especially for international operations. By agreeing to these Terms, the Client consents to the exclusive jurisdiction of the designated courts in India.

Modifications to Terms

Jainovate reserves the right to modify or update these Terms at any time.  Any changes will be posted on our website with the date of revision. It is the Client’s responsibility to review the Terms periodically. By continuing to access the website or use our services after any modifications, the Client agrees to be bound by the new Terms.  As with other standard agreements, Jainovate may update the Terms without notice, and ongoing use constitutes acceptance of the updated Terms.
